LEARNING OUTCOMES- At the end of the topic, students will be able to:
1) Explain the types of companies.
2) Differentiate between the types of companies.

Q.25 What are the various types of companies?   (1)
Ans 1. Private Company
        2. Public Company
        3. One Person Company

Q.26 Explain Private Company and Public Company according to Companies Act, 2013. (4)

Ans 1. PRIVATE COMPANY
           It is a company which has the following features:
            a)It can be established with a minimum of 2 and a maximum of 200 members.
            b) It must use Private Limited after the name of the company.
            c) It restricts the shareholders right to transfer shares to outsiders.
            d) It cannot invite public for issue of shares or any kind of loan or deposits.
            e) Business can be started on issue of certificate of incorporation.
            f) No need to issue prospectus for issue of shares and it can be issued without receiving 
                minimum subscription.
             g) Minimum two directors and there is no need to maintain an index of members.

         2. PUBLIC COMPANY
             It is a company which has the following features:
             a) It has a minimum of 7 members and no limit on maximum members.
              b) It has no restriction on transfer of shares.
              c) It can invite the public to subscribe to its share capital or public deposits.
              d) It must use Ltd after its name.
              e) The public company can start working only once certificate of commencement
                   is received.
              f)  The general public is invited freely for issue of shares and there is minimum of three 
                   directors.
              g) Public companies cannot issue shares unless minimum subscription is received.
